Often clients come to us with a desire to purchase an existing business or sell their business. Along with that desire they have a number of questions regarding the legal issues involved with the formation or purchase of the business. When the situation involves a potentially new business, often they ask for our help and guidance as to what form of business entity would be appropriate for them in their particular industry. We address those issues and assist our clients with choosing the best form of entity. We listen to our clients regarding their objectives and then we provide legal advice to find the best approach so that their objectives can be achieved.
Business owners should also be concerned about limiting their personal liability from lawsuits and other legal actions that may be initiated against their business. Proper planning is important to legally separate and maintain segregation of the business from its owners. Business insurance is an important component to a plan to protect the business and its owners. Sometimes, unfortunately, lawsuits can arise that exceed the policy limits of the business insurance. It is for this reason, that businesses need to carefully maintain their business so they do not commingle personal and business assets or operate a business in such a manner that they lose the protections that were originally intended for their business. One of the areas that is important is the proper annual documentation of the business activities of a business to assure that evidence exists that shows the business is separate and apart from the owners. We assist and prepare these documents for clients to assure that they are prepared correctly and that they accurately represent the operations of the company.
In addition to formation issues, we assist our clients with those legal matters that arise from time to time regarding the operation of their business. Often businesses have contract disputes with suppliers or customers which require legal representation. Other issues arise for business regarding employees such as the hiring and firing of employees, employee's violating company policies and a number of other employee issues. In addition to employee issues, we also help our business clients with other legal matters such as tax issues, disputes between owners of a company, and the impact on the company after an owner dies, is divorced or has a personal legal issue. All of these issues require specific legal consultation and representation. Our firm handles these issues with a solutions approach whereby we analyze the case or situation to determine what is the best approach to deal with these issues and then formulate a plan to address those issues.
